These Terms of Service ("Terms") govern your access to and use of the websites, software, tools, products, and services provided by Power Up AI-AI ("Power Up AI," "we," "our," or "us").

By accessing or using our website, Software, products, or services, you ("user," "you," or "your") agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use our website, Software, products, or services.

1. Services Provided

Power Up AI-AI provides software, data, marketing, automation, educational resources, and related services designed to help businesses identify opportunities, improve customer acquisition, manage business processes, and use artificial intelligence more effectively.

Available products and services may include:

Lead Hacker: Buyer-intent, website-visitor identification, data-enrichment, lead-generation, audience-development, and campaign-activation tools.
Power Up AI Software Lab: AI-powered tools, guided workflows, templates, specialized mentors, training, and educational resources for marketing, sales, content, customer communication, and business operations.
Done-for-You Marketing: Services that may include marketing strategy, campaign development, email outreach, advertising, funnels, audience creation, follow-up systems, analytics, and related implementation.
Review and Reputation Tools: Features that may include review aggregation, AI-assisted review responses, review-request campaigns, feedback collection, review sharing, reputation analytics, and related automation.
Education and Community: Workshops, training, community resources, implementation guidance, and other educational materials relating to artificial intelligence, marketing, automation, and business growth.

Specific features, availability, usage limits, pricing, deliverables, and service terms may vary based on the product, subscription, order form, proposal, statement of work, or other written agreement applicable to your purchase.

We may add, modify, suspend, or discontinue features or services subject to these Terms and any applicable written agreement.

2. Eligibility

To use the Software, you must:

Be at least eighteen (18) years old or the legal age of majority in your jurisdiction;
Have the authority to enter into legally binding agreements; and
Agree to comply with these Terms and all applicable laws and regulations.

3. Account Registration

To access certain features of the Software, you must register for an account. You agree to:

Provide accurate, complete, and up-to-date information during the registration process;
Maintain the confidentiality of your account login credentials; and
Notify us immediately of any unauthorized use of your account or any other breach of security.

We reserve the right to suspend or terminate your account if any information provided is found to be inaccurate, false, or incomplete.

4. License to Use

We grant you a limited, non-exclusive, non-transferable, and revocable license to use the Software solely for your business purposes, subject to these Terms. You agree not to:

Reproduce, distribute, or publicly display the Software or any portion thereof without our prior written consent;
Reverse-engineer, decompile, or disassemble the Software; or
Use the Software for any unlawful purpose or in violation of any applicable laws or regulations.

5. User-Generated Content

By using the Software to manage and respond to reviews, send review requests, or share reviews on other platforms, you agree that:

You are solely responsible for the content you upload, post, or transmit through the Software;
You must have the necessary rights to use and share any content submitted through the Software; and
We may monitor, modify, or remove content that violates these Terms or applicable law, but we are not obligated to do so.

6. Artificial Intelligence Usage

Certain features of the Software may use artificial intelligence to generate responses, recommendations, summaries, classifications, marketing content, business content, insights, or other outputs.

By using AI-assisted features, you acknowledge and agree that:

AI-generated outputs are produced using automated systems and may be inaccurate, incomplete, inappropriate, outdated, or unsuitable for your specific circumstances;
You are responsible for reviewing, editing, verifying, and approving AI-generated outputs before publishing, sending, relying upon, or acting on them;
You are responsible for ensuring that your use of AI-generated outputs complies with applicable laws, platform rules, industry requirements, contracts, and professional obligations;
You must not submit information to an AI-assisted feature unless you have the right and authority to use and process that information; and
Power Up AI-AI is not liable for claims, losses, or damages arising from your failure to review or appropriately use AI-generated outputs, to the maximum extent permitted by applicable law.

AI-generated outputs are provided for general business assistance and are not legal, medical, financial, accounting, or other regulated professional advice.

7. Website Use and Tracking Technologies

When you visit our website, we may use cookies, tracking pixels, scripts, tags, local storage, and similar technologies, including technologies provided by third parties, to operate the website, understand visitor activity, identify potential business prospects, measure marketing performance, and support advertising and remarketing.

These technologies may include the Lead Hacker tracking pixel and the Meta Pixel.

The Lead Hacker tracking pixel may collect information about website visits and interactions, including IP address, browser and device information, pages viewed, referring URLs, timestamps, online identifiers, and general location derived from an IP address. Where permitted by applicable law, this information may be matched with information from third-party sources to identify or enrich visitor or business records. Enriched information may include a name, business name, professional information, email address, phone number, mailing address, or other business and contact information.

The Meta Pixel may collect information about website visits, interactions, advertising engagement, conversions, browser and device information, cookie identifiers, and other website events. We may use this information to measure advertising performance, create or refine advertising audiences, deliver relevant advertising, and support remarketing through Meta services such as Facebook and Instagram.

Information collected through these technologies may be transmitted to and processed by third-party service providers according to their respective privacy policies, contracts, and legal obligations.

8. Payment and Subscription

Provide accurate payment information and maintain an active payment method throughout your subscription term; and
Acknowledge that all fees are non-refundable unless otherwise stated in these Terms.

We reserve the right to modify our pricing and subscription plans at any time. Any changes to pricing will take effect at the end of your current subscription term.

9. Cancellation

9.1 Cancellation Notice

To avoid automatic renewal, you must provide a written cancellation notice by email to info@powerupai.ai at least seven (7) calendar days before the expiration of your then-current subscription term (the "Cancellation Notice"). The Cancellation Notice must include the account holder's full name, the business name, and the account email address.

9.2 Timeliness

If we do not receive a timely Cancellation Notice, your subscription will renew automatically for the next term and the applicable fees will be charged to the payment method on file.

9.3 No Prorated Refunds

Fees for partially used subscription periods are non-refundable. After submitting a timely Cancellation Notice, your access to paid features will remain active until the end of the current subscription term.

9.4 Effect of Cancellation

Upon the effective date of cancellation, your license to use paid features terminates; however, you may continue to use any free features available under these Terms, subject to their conditions.

10. Termination

We reserve the right to terminate or suspend your access to the Software, without notice, for any reason, including but not limited to:

Violations of these Terms;
Non-payment of fees; or
Fraudulent or unlawful activities.

Upon termination, your license to use the Software immediately ceases, and any data associated with your account may be deleted. You are solely responsible for exporting any necessary data before termination.

11. Intellectual Property

All content and materials within the Software, including logos, text, graphics, software, and design, are owned by Power Up AI-AI or licensed to us. You may not use any content from the Software without our express written consent, except as expressly permitted by these Terms.

12. Data Privacy

Your use of the Software and website is subject to our Privacy Policy and Cookie Policy, which govern how we collect, use, share, and protect personal data. By using the Software or visiting our website, you agree to those policies.

13. Disclaimer of Warranties

The Software is provided "as is" and "as available" without any warranties, express or implied, including but not limited to:

Warranties of merchantability, fitness for a particular purpose, or non-infringement; and
Any guarantees of accuracy, reliability, or availability of the Software.

We do not guarantee that the Software will be error-free, secure, or uninterrupted. You use the Software at your own risk.

14. Limitation of Liability

To the maximum extent permitted by law, Power Up AI-AI and its affiliates, officers, directors, employees, and agents shall not be liable for any:

Indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities; or
Damages exceeding the amount you paid to use the Software in the twelve (12) months prior to the event giving rise to the claim.

15. Indemnification

You agree to indemnify and hold harmless Power Up AI-AI, its affiliates, officers, directors, employees, and agents from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

Your use of the Software;
Your violation of these Terms or any applicable law; or
Any content you upload, post, or transmit via the Software.

16. Governing Law

These Terms and any disputes arising out of or related to them shall be governed by and construed in accordance with the laws of the State of Colorado, without regard to its conflict-of-law principles.

17. Dispute Resolution

In the event of a dispute arising from these Terms, you agree to first attempt to resolve the dispute informally by contacting us at info@powerupai.ai. If the dispute cannot be resolved informally, you agree to submit to the exclusive jurisdiction of the state or federal courts located in Colorado.

18. Changes to the Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by email or through a notice on the platform. Your continued use of the Software after the changes take effect signifies your acceptance of the updated Terms.
